Corporate Paralegal (Startup & Venture-Focused) - REMOTE
Full-Time | Remote | 90-Day VA-to-Direct Hire Track
We are hiring on behalf of our client, a fast-growing, technology-forward corporate law firm building the AI-enabled law firm of the future. This firm supports elite founders and high-growth startups and is rapidly expanding its venture and equity practice.
We are seeking a Corporate Paralegal with real startup experience to join initially as a full-time Virtual Assistant under a 90-day probationary period. Pending strong performance and mutual alignment, this role will transition into a direct hire position with the firm.

What You’ll Be Doing
You will play a critical role in supporting venture financings, equity management, and corporate governance for startup clients.
Corporate & Financing Support
Prepare draft board and stockholder consents
Draft stock and option agreements
Assist with employment, consulting, and advisor agreements
Support venture financing closings and ancillary documentation
Equity & Cap Table Management
Update and maintain capitalization records in Carta and Pulley
Manage day-to-day equity grants across multiple startup clients
Ensure accuracy and compliance with corporate records
Closing & Signature Coordination
Manage signature pages and closing packets via SimplyAgree and DocuSign
Coordinate document execution and ensure clean, organized records
Compliance & Filings
Prepare 83(b) elections
Support Delaware franchise tax and blue sky filings
Assist with securities-related filings and compliance tasks
Legal Operations & Organization
Organize diligence folders and dataroom materials
Communicate directly with startup clients regarding documentation
Help develop internal processes as the firm continues scaling
90-Day Performance Expectations
This role is structured as a full-time VA engagement for the first 90 days. Clear benchmarks include:
First 30 Days
Learn systems, tools, and communication preferences
Begin supporting signature coordination and cap table updates
Build trust through accuracy and responsiveness
By 60 Days
Independently manage Carta/Pulley updates and closing workflows
Draft first versions of basic corporate documents and filings
Handle routine client communication related to documentation
By 90 Days
Own equity and closing workflows with minimal oversight
Manage multiple startup clients efficiently
Demonstrate strong ownership mindset and operational independence
Be positioned to transition into a direct hire role
What We’re Looking For
Experience supporting venture-backed startups or corporate law practices
Hands-on experience with Carta and/or Pulley (required)
Experience coordinating closings and signature packets
Strong organizational skills with the ability to manage multiple matters
Tech-forward mindset and comfort with legal operations tools
Self-sufficient, proactive, and solutions-oriented
High attention to detail and strong written communication skills
